Terms of Service

1. Agreement to Terms
By accessing or using Vuuv's mobile applications (iOS and Android) and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Vuuv Software LLC ("Vuuv," "we," "us," or "our").
2. Description of Service
Vuuv provides financial tracking and management tools designed for small businesses, real estate investors, landlords, property managers, and construction contractors. Our Service includes features for tracking income and expenses, mileage logging, property and construction project management, invoicing, payment collection, time tracking, bank account syncing, online-marketplace syncing (Amazon, eBay), tax reporting, team collaboration, project location geofencing, and AI-assisted features such as receipt scanning, transaction categorization, and in-app AI chat. The Service is available through our iOS mobile application, Android mobile application, and web platform.
3. Account Registration
To use certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old to create an account. This minimum age applies regardless of any lower minimums referenced in our Privacy Policy (which describe legal children's-privacy thresholds such as COPPA's age 13 or the EEA's age 16); the Service is not offered to anyone under 18. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Billing
Free Trial
New users may be eligible for a 30-day free trial of a paid tier (Pro or Elite). No credit card is required to start a free trial. At the end of the trial period, your account will automatically revert to the free Plus tier unless you subscribe to a paid plan before the trial ends. You will not be charged during the free trial period.
Subscription Tiers
We offer the following subscription plans:
- Plus: Free - 1 business, unlimited transactions, unlimited invoicing and estimates, online payments (Vuuv never takes a cut), up to 3 rental units, Schedule C and E viewable on screen, budgets, and manual mileage. Exportable Schedule C and E (PDF and CSV), 1099-NEC, and the year-end tax packet are Pro.
- Pro: $12/month - Everything in Plus, unlimited businesses and properties, bank sync, full Vuuv AI, GPS mileage tracking, e-signatures, exportable tax deliverables, 1099 generation, tax packet, and 1 team member
- Elite: $18/month - Everything in Pro with up to 10 team members
Billing
Subscriptions are billed in advance on a monthly or annual basis. For iOS app purchases, billing is handled through the Apple App Store. For Android app purchases, billing is handled through the Google Play Store. For web purchases, billing is handled through Stripe. Prices are subject to change with reasonable notice. Your subscription will automatically renew unless you cancel before the renewal date.
Refunds
For subscriptions purchased through the Apple App Store, refund requests must be submitted through Apple. For subscriptions purchased through the Google Play Store, refund requests must be submitted through Google. For web subscriptions, we offer refunds within 7 days of the initial purchase or renewal if you are not satisfied with the Service. Contact [email protected] to request a refund.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the Service
- Use the Service for any fraudulent or deceptive purposes
- Resell or redistribute the Service without authorization
- Use automated systems to access the Service without permission
- Use payment collection features for illegal transactions or money laundering
- Misrepresent your identity or business information
- Use the CRM email features (welcome, referral, review, or any direct-send flow) to send unsolicited bulk email to contacts who have not asked to hear from your business, or otherwise in violation of applicable anti-spam laws (US CAN-SPAM Act, Canada's CASL, EU GDPR direct-marketing rules, and analogues elsewhere). You are the legal sender of every CRM email you send through the Service; Vuuv is a software-delivery platform, not the sender of record.
6. Your Data and Content
You retain ownership of all data and content you submit to the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you.
You are responsible for the accuracy of your User Content, including all financial data, tax information, and business records you enter into the Service. You are also responsible for maintaining your own backups of critical business data.
7. Not Tax, Legal, or Financial Advice
IMPORTANT: Vuuv Software LLC is a financial tracking and bookkeeping tool provider. THE SERVICE DOES NOT PROVIDE TAX, LEGAL, ACCOUNTING, OR FINANCIAL ADVICE. Specifically:
- Tax reports generated by the Service (including Schedule C, Schedule E, 1099-NEC forms, depreciation schedules, and Year-End Tax Packets) are informational tools only and are not substitutes for professional tax preparation or advice.
- The tax calculator and tax estimate features provide estimates only and may not reflect your actual tax liability. Tax laws are complex and change frequently.
- Depreciation calculations (including MACRS schedules and Section 179 deductions) are based on general IRS guidelines and may not account for your specific tax situation.
- 1031 exchange tracking is for record-keeping purposes only and does not constitute guidance on whether a transaction qualifies as a like-kind exchange under IRS rules.
- Cost basis calculations and capital gains estimates are approximations and should be verified by a qualified tax professional.
- Categorization of expenses (whether manual or automatic) does not constitute a determination of tax deductibility.
- Mileage tracking and trip classification assist with record-keeping but do not determine whether mileage is deductible under IRS rules.
- AI-assisted output is informational only. Vuuv's AI features — including receipt scanning, auto-categorization, transaction and project suggestions, and the in-app AI chat — generate output using machine-learning models and can be incomplete, inaccurate, or "hallucinate" plausible-looking but wrong information. You must review and verify any AI-generated output before relying on it for bookkeeping, tax, invoicing, or any other business decision.
You are solely responsible for the accuracy of your tax filings and financial decisions. We strongly recommend consulting with a qualified CPA, tax professional, or financial advisor before making tax or financial decisions based on information from the Service. Vuuv Software LLC shall not be liable for any tax penalties, interest, or additional taxes resulting from your use of the Service or reliance on its reports and calculations.
8. Payment Collection (Stripe Connect)
Vuuv offers payment collection features (invoicing, payment requests, and recurring rent payments) powered by Stripe, Inc. ("Stripe") through the Stripe Connect platform. By using these features, you agree to the following:
Vuuv's Role
Vuuv acts as a technology platform that facilitates payment collection between you and your clients, tenants, or customers. Vuuv is not a payment processor, bank, or money transmitter. All payment processing is performed by Stripe. Your use of payment collection features is subject to Stripe's Connected Account Agreement, which includes Stripe's Terms of Service.
Your Responsibilities
- You are responsible for the accuracy of all invoices, payment requests, and amounts you submit through the Service.
- You must comply with all applicable laws and regulations related to your business, including tax obligations on income received through payment collection.
- You are responsible for resolving disputes with your payers. Vuuv is not a party to the transactions between you and your payers.
- You must provide accurate business and identity information during Stripe Connect onboarding, as required by law.
- You acknowledge that Stripe independently performs identity verification (KYC), sanctions and anti-money-laundering screening, and ongoing risk monitoring using the information you submit. Stripe may restrict, hold, or terminate your account or payouts based on these checks. Vuuv does not control Stripe's risk decisions and is not liable for them.
Public Payment Links
When you send an invoice or payment request, Vuuv generates a public payment URL (e.g., /pay/{token}) that anyone holding the link can open to view invoice details and submit payment. The link itself is the only credential required to view the invoice. You are responsible for distributing payment links only to intended recipients and through secure channels. If you believe a link has been shared beyond its intended recipient, you can regenerate or cancel the link through the Service to invalidate the old URL.
Payment Disputes and Chargebacks
Vuuv is not responsible for payment disputes, chargebacks, refund requests, or funds held or frozen by Stripe. If a payer initiates a dispute or chargeback, Stripe will handle the process according to their policies. You are responsible for responding to disputes and any associated fees imposed by Stripe.
Fees and Payouts
Stripe charges processing fees on each transaction. These fees are deducted from the payment amount before funds are deposited to your bank account. Payout timing and availability are determined by Stripe and subject to Stripe's policies. Vuuv does not control or guarantee payout timing.
8.5 Vuuv Sell Point of Sale
Vuuv Sell is our point of sale for in-person selling: a register app for iOS and Android used at your stand, plus catalog and settings screens in the main Vuuv apps and on vuuv.co. Card payments at the register are taken with a Stripe card reader through Stripe Terminal. By using Vuuv Sell you agree to this Section in addition to Section 8.
You Are the Merchant of Record
Card payments at your register are processed by Stripe as direct charges on your own Stripe account under Stripe's Connected Account Agreement and Stripe's Terminal terms. You are the merchant of record for every sale. Vuuv is not a payment processor, facilitator, or party to your sales, and never receives full card numbers; the Stripe reader reads the card and Stripe processes it. Your Stripe relationship is direct: it survives disconnecting from Vuuv, and Stripe may hold funds, restrict, or terminate your Stripe account independently of Vuuv. Vuuv does not control Stripe's decisions and is not liable for them.
Authorization to Act on Your Stripe Account
To run the register, you authorize Vuuv to act on your Stripe account for these purposes: creating card payments for register sales, processing refunds you initiate, registering your selling locations and card readers with Stripe Terminal, and receiving transaction, payout, dispute, and account-status information from Stripe in order to record it in your books. You also authorize Vuuv to share your business information with Stripe as needed to provide these features.
Fees
Vuuv charges no platform fee on Vuuv Sell transactions. Stripe's processing fees are charged by Stripe directly under your own Stripe agreement and are deducted before payout, as described in Section 8.
Your Responsibilities When Selling In Person
- Receipts. Offer every customer a receipt (printed or email), as card network rules and some state and local laws require, and display a truthful business name and selling location on your receipts.
- Sales tax. You configure the sales tax rate for each selling location. The register computes tax at the rate you configured, as a bookkeeping convenience. Vuuv is not a marketplace facilitator, does not collect or remit tax on your behalf, and does not provide tax advice (Section 7). Determining the correct rates, registering with tax authorities, and collecting, remitting, and filing sales tax are solely your responsibility.
- Refunds and returns. Disclose your refund policy to customers and honor it. Refunds of card sales are returned to the customer's card through Stripe. Do not charge a customer again for a sale that was disputed or charged back except as card network rules permit.
- Your customers' information. Comply with applicable privacy laws for your customers' information. You are responsible for having the right to provide your customers' information to Vuuv for receipt delivery and bookkeeping. Use receipt email addresses only to deliver receipts, never for marketing lists, and never write down or key a full card number outside the Stripe reader.
- Lawful sales. Sell only goods you may lawfully sell, and verify purchaser age where the law requires it. Vuuv Sell does not verify customer age.
- Cashiers. Register logins are device identities you create, and they have no access to your accounting data. You are responsible for who operates a logged-in register and for disabling logins you no longer use, as with team members under Section 18.
Hardware, Connectivity, and Updates
The Stripe card reader is third-party hardware sold and warranted by Stripe or its manufacturer; Vuuv does not warrant it. The register requires an internet connection, which is your responsibility, and has no offline mode: a card sale is not complete until Stripe authorizes it. Vuuv is not liable for sales you cannot complete due to network, carrier, power, hardware, or service interruptions (Sections 20 and 21). Card networks and Stripe require periodic software updates; we may require you to update the register app to continue accepting card payments.
Chargebacks on In-Person Sales
Disputes and chargebacks on register sales are handled through Stripe under card network rules, and Section 8's dispute terms apply to them. You are responsible for responding to disputes and for any dispute amounts and fees. When Stripe reports a dispute on a register sale, Vuuv automatically records the amounts involved in your books; that record is a bookkeeping entry reflecting what Stripe reported, not a decision about the dispute.
9. Recurring Payments and ACH
If you use Vuuv's recurring payment features (e.g., automatic rent collection via ACH bank transfers), the following additional terms apply:
- ACH payments are processed by Stripe in accordance with Nacha (National Automated Clearing House Association) operating rules.
- You are responsible for obtaining proper authorization from your payers before initiating recurring ACH debits from their bank accounts.
- ACH payments may take 3-5 business days to process and may be subject to returns or reversals (e.g., insufficient funds, unauthorized transactions).
- You are responsible for any fees associated with failed or returned ACH payments.
- Payers may dispute ACH debits with their bank. You are responsible for responding to and resolving such disputes.
10. Electronic Signatures
Vuuv integrates with SignWell to provide electronic document signing capabilities (e.g., for lease agreements). By using this feature, you agree to the following:
- Electronic signatures created through the Service are intended to be legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA).
- You are responsible for ensuring that all parties to a document consent to using electronic signatures.
- Vuuv does not guarantee the legal enforceability of any electronically signed document in your jurisdiction. You should consult with a legal professional if you have questions about the validity of electronic signatures for your specific use case.
- Your use of electronic signatures is also subject to SignWell's Terms of Service.
11. Third-Party Services
The Service integrates with third-party services including but not limited to: bank account aggregators (Plaid), payment processors (Stripe), authentication providers (Apple, Google), electronic signature providers (SignWell), AI inference (Google Vertex AI on Google Cloud), email delivery services (SendGrid), SMS delivery services (Twilio), online-marketplace APIs (Amazon Selling Partner API, eBay Finances API), and mapping/geocoding providers (Google Maps Platform, including Places and Maps JavaScript APIs). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or performance of third-party services. A current list of our sub-processors is maintained in our Privacy Policy.
12. Bank Sync Feature
Vuuv offers an optional bank sync feature powered by Plaid Inc. that allows you to connect your bank accounts to automatically import transactions. By using this feature, you agree to the following:
Consent
By connecting a bank account through Plaid, you authorize Vuuv to access and retrieve your financial information from your financial institution. You consent to the collection, storage, and use of your transaction data as described in our Privacy Policy.
Read-Only Access
Vuuv only reads your financial data -- we cannot initiate transactions, transfers, or payments from your bank accounts via Plaid. We do not store your bank login credentials; authentication is handled securely by Plaid.
Data Accuracy
While we strive to accurately import your transaction data, you are responsible for reviewing imported transactions for accuracy. The bank sync feature is provided for convenience and does not replace proper bookkeeping practices.
Availability
The bank sync feature requires a Pro or Elite subscription. Bank connectivity depends on Plaid's support for your financial institution and may not be available for all banks. We do not guarantee uninterrupted access to bank sync functionality.
Disconnection
You may disconnect your bank accounts at any time through the Banking section of the app. Disconnecting will remove the connection and delete associated transaction data from our servers.
13. Amazon Selling Partner Integration
Vuuv offers an optional integration with Amazon's Selling Partner API (SP-API) that allows Amazon sellers to automatically import financial events (sales, fees, refunds, reimbursements) and order data into Vuuv for bookkeeping. By connecting an Amazon seller account, you agree to the following:
Authorization
You authorize Vuuv to access your Amazon seller data through Amazon's Login with Amazon (LWA) and SP-API on your behalf, using the scopes you approve during Seller Central authorization (including Finances and Orders). We store the resulting access and refresh tokens server-side and never expose them to your device or browser.
Your Responsibilities
- You must be the owner or an authorized user of the Amazon seller account you connect.
- You are responsible for complying with the Amazon Services API Developer Agreement and all applicable Amazon seller policies.
- You are responsible for reviewing imported transactions for accuracy before importing them into your books. Marketplace data may be delayed, restated, or adjusted by Amazon.
Disconnection and Data Deletion
You may disconnect your Amazon seller account at any time through the Amazon Integration screen. Disconnecting revokes our LWA tokens and deletes the synced marketplace data associated with the connection. You may also revoke access directly in Amazon Seller Central.
14. eBay Finances Integration
Vuuv offers an optional integration with the eBay Finances API that allows eBay sellers to automatically import transactions (sales, fees, refunds, shipping labels, payouts, and adjustments) into Vuuv for bookkeeping. By connecting an eBay seller account, you agree to the following:
Authorization
You authorize Vuuv to access your eBay seller data through eBay's OAuth 2.0 authorization flow using the scopes you approve (including sell.finances, sell.fulfillment.readonly, and sell.account.readonly). We store the resulting access and refresh tokens server-side and never expose them to your device or browser.
Your Responsibilities
- You must be the owner or an authorized user of the eBay seller account you connect.
- You are responsible for complying with the eBay API License Agreement and all applicable eBay seller policies.
- You are responsible for reviewing imported transactions for accuracy. Marketplace data may be delayed, restated, or adjusted by eBay.
Marketplace Account Deletion
As required by eBay's Marketplace Account Deletion program, Vuuv operates a compliance endpoint that receives and acts on eBay account-deletion notifications. When we receive a notification that affects a connected account, we revoke tokens and delete the associated seller data from our servers.
Disconnection
You may disconnect your eBay seller account at any time through the eBay Integration screen, which revokes our tokens and, at your option, deletes the synced transaction data.
15. Vuuv AI Features
The Service includes AI-assisted features ("Vuuv AI") that include receipt scanning, automatic transaction categorization, duplicate and recurring-transaction detection, audit flagging, tax narratives, report summaries, budget suggestions, document classification, natural-language transaction search, estimate document import, project / cost-code suggestions, and CRM welcome-email drafting / polishing (Generate and Enhance buttons on the compose dialog). The complete list and a description of the data sent for each feature is in our Privacy Policy, Section 11.
How Vuuv AI Works
Vuuv AI runs on Google's Gemini models, accessed through Google's Vertex AI service on Google Cloud. When you use a Vuuv AI feature, Vuuv sends the relevant input you provide (such as a receipt image, an estimate PDF, a transaction, or a search query) to Vertex AI on your behalf and receives a structured response. See our Privacy Policy, Section 10, for the data we send, where it is processed, and Google's contractual commitments regarding that data.
No Training on Your Data
We do not train, fine-tune, or otherwise improve any AI model using your User Content. Google's terms for Vertex AI state that customer inputs and outputs are likewise not used to train Google's models.
Output Is Informational Only
AI-generated output can be incomplete, inaccurate, or misleading, and may "hallucinate" plausible-looking but incorrect information. You are solely responsible for reviewing and verifying any AI output before relying on it for bookkeeping, tax, invoicing, or any other decision. See Section 7 for the full informational-only disclaimer.
Acceptable Use
You agree not to use Vuuv AI to generate content that violates Section 5 (Acceptable Use), including illegal, deceptive, infringing, or harmful content, and not to attempt to reverse- engineer, extract, or replicate the underlying models.
15.5 Customer Relationship Management (CRM)
When you enable CRM on a business, the Service lets you track contacts, deals, sales pipeline stages, follow-ups, activities, and an inbox of suggested next actions. Use of the CRM features is governed by these Terms and our Privacy Policy, Section 11.5.
You Are the Sender of Record
Every CRM email you compose and send through the Service — including welcome emails to new leads, referral or review requests, and any direct message you compose from a contact's detail page — is sent on your behalf by Vuuv through Twilio SendGrid. You are the legal sender of those messages. You confirm that, for each contact you email through the Service, you have a legitimate business relationship and that your use complies with applicable anti-spam and consent laws (US CAN-SPAM Act, Canada's CASL, EU GDPR direct-marketing rules, and analogues in other jurisdictions). The Service honors per-contact opt-out signals you set (doNotEmail anddoNotSendWelcomeEmail) by blocking sends and inbox prompts for those contacts, but you remain responsible for honoring opt-outs received through any other channel.
Nothing Auto-Sends
The CRM does not auto-send email or messages on your behalf. The optional "welcome new leads" toggle only surfaces a card in your CRM inbox prompting you to compose a welcome email. Generate and Enhance use Vuuv AI to draft or polish copy, but no message leaves the Service until you click Send.
AI-Drafted Copy Is Your Responsibility
AI-generated welcome-email copy may be imperfect, generic, or factually incorrect. You are responsible for reviewing and editing every AI draft before sending. See Section 15 (Vuuv AI Features) for the broader informational-only disclaimer.
Pipeline Stages and Audit History
CRM data — contacts, deals, follow-ups, activities, dismissed inbox cards, and automation telemetry — is retained for the lifetime of your account and exported on request. Deal stage transitions are immutable once recorded for audit-trail integrity; you cannot rewrite the history of a deal, but you can soft-delete the deal itself.
Inbound Email Reply Routing
When a contact replies to a CRM email you sent through the Service, the reply may be routed through SendGrid Inbound Parse to the Service and attached to that contact's Activity timeline. The Service uses a signed token in the Reply-To address to identify the conversation. You are responsible for ensuring this routing complies with applicable law in your jurisdiction (for example, certain GDPR member states may require that recipients be told their replies are stored in a CRM). You can opt out of inbound routing for any business by setting a direct Reply-To override in Business Settings.
CAN-SPAM Postal Address
The Service appends your business's postal address (as entered in Business Settings) to the footer of every CRM email it sends on your behalf, alongside the one-click unsubscribe link. You are responsible for keeping this address accurate. If you have not provided an address, the Service still sends the email but the postal-address line is omitted; in that case you are solely responsible for any CAN-SPAM or equivalent compliance gap.
15.6 Public Bookings and Calendar Sync
The Service lets you publish a public Booking page where prospects can self-schedule against your availability. By enabling a Booking page, you authorize the Service to accept bookings on your behalf, create matching CRM Contact + Activity records, and send confirmation and cancellation emails to both you and the guest. Guests cancel bookings through a signed-link page (no Vuuv account required); the cancellation token is included in the confirmation email you authorized the Service to send.
You are responsible for the accuracy of your availability windows, the description of the meeting you publish, and any deposit, rescheduling, or no-show terms you set outside of the Service. The Service does not collect payment at the time of booking.
Google Calendar Connection
If you choose to connect a Google Calendar, you grant the Service read access to your free/busy times and write access scoped to inserting and updating the events the Service creates from your Vuuv Bookings. The Service stores Google OAuth refresh tokens server-only. The Service's use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect at any time from Business Settings; disconnect revokes our refresh token at Google and clears cached busy windows.
16. Location, Mileage, and Project Geofencing
The Service includes optional location-based features, including GPS mileage tracking and project geofencing (which auto-suggests that time entries, transactions, or mileage trips be attributed to a Project when you are at or near that Project's job-site address).
- Consent required. Location features are off by default. They only run after you grant location permission to the mobile app and explicitly enable the feature.
- Address geocoding. When you enter a project or property address, we send the address to Google Maps Platform (Places API and Maps JavaScript API) to resolve it to latitude/longitude and to render the map. Your use of those features is subject to Google's Terms of Service.
- On-device geofence evaluation. Geofence proximity matching runs on your device. Your device location is not continuously streamed to Vuuv's servers; we only record location when you explicitly log a mileage trip or attach location to a transaction.
- Your responsibility. You are responsible for obtaining any consents required from team members or other individuals whose location may be captured via a shared device or shared account.
17. SMS/Text Messaging
Vuuv offers SMS (text message) notifications as part of our invoicing and payment collection features. By providing your phone number and opting in to receive text messages, you agree to the following terms:
Consent
By adding your phone number to your account settings, enabling SMS notifications, or providing a phone number when creating invoices or payment requests, you expressly consent to receive transactional SMS messages from Vuuv. You confirm that you are the owner or authorized user of the phone number provided.
Types of Messages
You may receive the following types of SMS messages:
- Invoice notifications with payment links
- Payment request alerts
- Payment confirmation receipts
- Account security alerts
- Service-related updates
Message Frequency
Message frequency varies based on your account activity. You will only receive messages related to transactions and account activities you initiate or that require your attention. We do not send marketing or promotional messages via SMS.
Opting Out
You can opt out of receiving SMS messages at any time by:
- Replying STOP to any message you receive from us
- Updating your notification preferences in your account settings
- Contacting us at [email protected]
After opting out, you will receive a confirmation message and will no longer receive SMS messages from us (except for critical security alerts, if required by law).
Costs and Carriers
Message and data rates may apply. Vuuv does not charge for SMS messages, but your mobile carrier may charge you for receiving text messages based on your plan. Vuuv is not responsible for any carrier fees or charges.

18. Team Access and Multi-User Accounts
Vuuv allows account owners to invite team members (e.g., bookkeepers, accountants, property managers) to access business data with role-based permissions. By using this feature:
- Account Owner Responsibility: The account owner is responsible for all activities performed by team members they invite, including any data modifications, financial transactions, or actions taken within the Service.
- Access Management: You are responsible for granting appropriate permission levels to team members and promptly revoking access when it is no longer needed.
- Team Member Conduct: Team members must comply with these Terms. The account owner is liable for any violations by their team members.

The Service, including its design, features, code, and content (excluding User Content), is owned by Vuuv Software LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission. The Vuuv name, logo, and related marks are our trademarks.
20. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR ANY FINANCIAL DECISIONS YOU MAKE BASED ON INFORMATION IN THE SERVICE. REPORTS, TAX CALCULATIONS, DEPRECIATION SCHEDULES, AND OTHER OUTPUT GENERATED BY THE SERVICE ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND MAY CONTAIN ERRORS OR INACCURACIES.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VUUV SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, TAX PENALTIES, INTEREST, OR ADDITIONAL TAXES ASSESSED BY ANY GOVERNMENT AUTHORITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
WITHOUT LIMITING THE FOREGOING, VUUV SOFTWARE LLC SHALL NOT BE LIABLE FOR: (A) ANY ERRORS OR INACCURACIES IN TAX REPORTS, CALCULATIONS, OR FINANCIAL SUMMARIES GENERATED BY THE SERVICE; (B) PAYMENT DISPUTES, CHARGEBACKS, OR FUNDS HELD BY STRIPE OR ANY OTHER THIRD-PARTY PAYMENT PROCESSOR; (C) LOSS OF DATA DUE TO THIRD-PARTY SERVICE FAILURES (INCLUDING FIREBASE, PLAID, OR STRIPE); (D) ACTIONS TAKEN BY TEAM MEMBERS YOU HAVE INVITED TO YOUR ACCOUNT; OR (E) ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO MAINTAIN ADEQUATE SECURITY.
22. Indemnification
You agree to indemnify and hold harmless Vuuv Software LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your use of payment collection features, including disputes with payers; (e) inaccurate information you provide, including tax and financial data; or (f) actions taken by team members you invited to your account.
23. Dispute Resolution and Arbitration
Informal Resolution
Before filing any formal proceeding, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within 60 days, either party may proceed with arbitration.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in DuPage County, Illinois, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST VUUV SOFTWARE LLC.
Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Claims in small claims court are also exempt from the arbitration requirement.
24. Force Majeure
Vuuv Software LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, war or terrorism, third-party service outages (including Firebase, Stripe, Plaid, Apple, Google, or SignWell), internet or telecommunications failures, power outages, cyberattacks, or other events beyond our reasonable control. During such events, our obligations under these Terms will be suspended for the duration of the event.
25. Termination
You may terminate your account at any time through the app settings or by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
Upon termination, your right to use the Service will immediately cease. You may request export of your data before termination. We will retain your data in accordance with our Privacy Policy. Any outstanding payment obligations, indemnification obligations, and limitations of liability shall survive termination.
26. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms, updating the "Last updated" date, and, where appropriate, notifying you via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
27. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Subject to the arbitration provisions above, any disputes not subject to arbitration shall be resolved in the state or federal courts located in DuPage County, Illinois.
28. Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
29. Entire Agreement and Waiver
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vuuv Software LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall only be effective if in writing and signed by Vuuv Software LLC.
